Elon Musk’s Belated Disclosure of Twitter Stake Triggers Regulators’ Probes

WASHINGTON—Federal regulators are investigating Elon Musk’s late disclosure last month of his sizable stake in Twitter Inc., TWTR -2.48% according to people familiar with the matter, a lag that allowed him to buy more stock without alerting other shareholders to his ownership. The Securities and Exchange Commission is probing Mr. Musk’s tardy submission of a public form that investors must file when they buy more than 5% of a company’s shares, the people said. The disclosure functions as an early sign to shareholders and companies that a significant investor could seek to control or influence a company. The Tesla Inc. chief executive made his filing on April 4, at least 10 days after his stake surpassed the trigger point for disclosure. Mr. Musk hasn’t publicly explained why he didn’t file in a timely manner.

less than 50% chance the deal happens according to wall street

buyout price $54.40 Twitter stock closed today at 46.09 is is down 50 cents in after hours

The price was around $39 on 4-1

a quick 18% return if you buy at todays price and the buyout happens

There’s also risk that Musk will renegotiate the price. If he decides to walk away it will cost him $1 billion, but Twitter price could drop 40%, or more if he decides to dump his shares. So both could lose if the deal doesn’t go through, but Musk can afford to walk away. Twitter can’t afford to let Musk dump his shares.

uh huh...

and yes the deal may not go through. stocks are getting slaughtered. he was going to take a loan against TSLA stock and Twitter price is going down. he should renegotiate.

Biden seems to have a vendetta for Musk.

Biden invited the big US vehicle manufacturer companies to an EV event.
Didn’t invite Tesla or Musk.

During the event. Biden lauded GM for being the premier EV breakout
company in the United States.

When I heard of that, I knew Musk was about to get the Jack Ma treatment.

I think you’re right.
With the way the tech stocks are going, Musk might be far better off to bail now, pay the one bil cancellation fee, and get it a lot cheaper 6 months from now.
