Beretta Fires Back After Ruger Accuses Italian Gunmaker of Hostile Takeover Attempt

In a public statement released Monday, Sturm Ruger said Beretta is attempting to “stealthily” gain control of it through discounted share purchases and strategic board appointments. Ruger further alleged its proposals for a collaborative business relationship with Beretta were rebuffed, and that the company threatened to “go to war” if its takeover demands were not met.

“Beretta sought to buy Ruger stock at a 15% discount from Ruger in a private placement and to obtain disproportionate board representation and voting power that would give it near-veto power over important matters,” the company said. “Ruger’s board will continue to protect Ruger’s stockholders and all Ruger stakeholders.”

In a statement of its own on Tuesday, Beretta denied that it was attempting a takeover and fired back at what it called “blatantly false and misleading statements” by Ruger.

“Beretta Holding is disappointed that Ruger has elected to egregiously violate its contractual obligations under its Confidentiality Agreement with us and share confidential discussions in an underhanded, distorted attempt to discredit Beretta Holding,” the company said. “We remain open to a negotiated outcome and believe such a resolution would best serve Ruger and its shareholders.”

The public back-and-forth marks a serious escalation in the recent discussions between Ruger and Beretta. It sets the stage for a potential proxy fight, with control over one of the few publicly traded American firearm giants hanging in the balance.

On-going cat fight between Ruger and Beretta.

Full discloser: I own one Beretta but a small armory's worth of Rugers.

I personally hope Ruger can stave off any attempts by Beretta to take significant control of the company. Financials aside, I would prefer an American company (Ruger), not be taken over by an European one (Beretta).

I would hope that Ruger comes out ahead on this and ceases to be publicly traded, because if they’re taken over by Beretta, that would mean the Marlin, and the assets of the now defunct Anderson Manufacturing go with it.

Ian McCollum over at Forgotten Weapons did a video on the development of the Mini-14 rifle, in that video he made in interesting comment that Ruger is more of a casting company, and does more than just guns. Their casting and heat treatment is supposed to be exceptional, it would be a shame to possibly lose that if acquired by Beretta. No hate against Beretta, it would just be nice if a major American gun manufacturer wasn’t purchase by a foreign buyer (looking at you Colt, and Smith and Wesson).

Agreed. Quality would definitely suffer. Ask anyone who ever owned a Fiat.

This is a tough one. I prefer American companies, especially in firearms/defense, but Ruger is mediocre at best, slow, has underperformed for ages, and has dabbled in gun control* advocacy.

Beretta makes great guns, and if they leave the manufacturing in the US could improve Ruger’s products, sales, and create more manufacturing jobs in the US.

*In 1989, Mr. Ruger proposed a ban on high-capacity magazines, which led a smaller rival to call Sturm, Ruger “the Benedict Arnold of the gun industry.” Mr. Ruger once said that he was open even to waiting periods for handgun purchases. “If the truth be known, I see no real harm in the concept,” he said, but cautioned, “the trouble is, where does it end?”

Beretta was founded in 1526, and makes amazing firearms; substantially higher quality than Ruger. It is not even close. Ask anyone who’s owned a Beretta.

Have had misfires using my own reloads with the Beretta, never with any of my Rugers.

I’m hoping that too.

First thing Beretta will do is close the pistol manufacturing facility in Prescott. Ruger is the largest manufacturing facility in the area and will cost a lot of jobs here.

More than half my guns are Rugers.

To preface this, this isn’t directed at you. I’ve seen some argue that Bill Ruger was willing to throw high capacity magazines to the wolves in order to keep semiauto pistols and rifles from being banned. I was admittedly in my teens when the man made that statement, and had no stake in the outcome at that time. Bill Ruger has been dead for a couple of decades, and the company sells the very rifles he was willing to toss under the bus, and more. People who had their pussy hurt by what the man said decades ago need to get over it, and people who weren’t born yet at the time and want to vilify a dead man for something that ultimately had no effect on them need to shut their damn mouths. I’d love to see what the loudest of online voices would do if it were their company that Congress was coming for.
