The nation's largest shopping mall owner said it's leaving Delaware as its state of incorporation, citing concerns of increasingly woke behavior by courts.
Simon Property Group, an S&P 500 company valued at $60 billion, last week said it could no longer rely on Delaware courts, which now allow for "meritless litigation" and "judicial interpretation without a clear statutory bias," Law.com reported.
The move mirrors Elon Musk's decision last year to move multiple companies, including Tesla and SpaceX, out of Delaware.
Delaware was once the gold standard for its corporate legal system.
But major corporations have joined Musk in his warnings that the blue state is simply too woke for any company to domicile there.
Recent press reports indicate corporate giants like Meta, parent of Facebook, and Walmart are preparing to move their domicile from Delaware.
Online player Dropbox quit Delaware recently and Coinbase chief legal officer Paul Grewal warned on X that "Delaware is at serious risk of losing its standing as the leading state of incorporation for American companies."
Billionaire Bill Ackman, CEO of Pershing Square Capital Management, said in an X post in early February that he planned to move his management company out of Delaware to reincorporate in Nevada or Texas.

FWIW I recall that at least in the past, the big muckety-mucks at Simon Properties have been huge donors to leftists.
But I guess even hard-core leftists aren’t fans of rogue judges now — when things don’t go their way.

It’s not only big companies that get weird rulings from Chancery Court but for smaller parties to appeal their rulings would bankrupt a normal citizen and has a minimal chance of success in the closed system of Delaware courts, IMHO.

Until some future date when the Dems gain control of state government. At that point, the laws will change and the barbarians will run amuck. Just like California, Oregon, Washington, Massachussetts, Illinois, New York and other progressive controlled states.
Remember, it was Californians fleeing high taxes who moved to Oregon, Colorado and Washington. Once there, they shifted the balance of power, took over the governments and turned those states into California.

Good point. But where DE had a huge advantage was a massive amount of decided case law that used to follow established rules and precedents without regard to trendy political agendas. As well as a dedicated court system and expert judiciary just for corporate litigation.
Alas, DE Chancery Court has fallen.
All it took was ONE single, leftist female judge to do it. The same fate may be awaiting the people of Wisconsin if they elect a single leftist female judge to their top court next week.
By not reigning in their *IDIOT*/corrupt/incompetent judges, they have f***ed around. Now they are finding out.
The court systems in general are incompetent, wasteful, and unfair. They bear no resemblance to a functional system of justice.
But yes, some court systems in some states are even worse than others. Delaware has a particularly stupid, corrupt, unfair court system.

I agree with you here. They soil their own bed, and then they want to move into someone else's bed where they can do it again.
They don't realize they are politically stupid, so they keep doing what they think is right, but which is in fact absolutely wrong. And they don't want to learn better.
I suspect that shoppers will find the new arrangement less engaging while traversing between parking lot and storefronts. Wind, rain, snow and heat will make for very focused visits. Not much "shopping" in the prior sense.
I never would have thought it but the outdoor mall where I am is wildly popular.

Not only do I personally dislike the model due to excessive walking or driving from one location to another I hate it like poison because of the traffic.

Back in the late 70s, 80s and 90s Delaware was an excellent state to set up corporations and I had multiple corporations because of the ease of use.
In today's world, with all of the liberal judges making insane decisions, corporations of all sizes are fleeing to free states {FL, TX etc}.
Delaware is now famous for one thing...joe, sleeping on the beach.
Most of Delaware’s budget comes from this. As more and more companies leave, they are going to be on hurt street.
