This is exactly what Steve Bannon predicted in April. He said Musk would dig deep and discover what Twitter is all about, and he’d back out.
Yeah, I wouldn't be surprised if he brought shareholder suit for fraud against the company. They would be on the hook to him for a lot more than a Billion dollars. He probably gets control of the company for his current stake hold to make the suit go away if he wants it. Otherwise he gets a couple of billion dollars out of them and walks away completely.

From the board’s point of view suspect the overriding ideology is money. Musk’s offer is way above current share price.
It’ll never go to court. Musk is too smart for them and will bury them all because of false reporting to their investors. They have to be smart enough to know that.

Twitter will drop this. Musk will require discovery, and he’s no idiot to not have prepared for this. If Twitter stays at it, it will take two years of wrangling. By then, Trump will be in office and the FTC will be looking hard at their fraudulent misleading of investors.
Watch for this to quietly go away soon…
