Judge Delivers Major Ruling In Case Involving NRA Verse New York

A federal judge on Tuesday dismissed the National Rifle Association’s bankruptcy case, leaving the powerful gun-rights group to face a New York state lawsuit that accuses it of financial abuses and aims to put it out of business.

The case was over whether the NRA should be allowed to incorporate in Texas instead of New York, where the state is suing in an effort to disband the group.

Though headquartered in Virginia, the NRA was chartered as a nonprofit in New York in 1871 and is incorporated in the state.

Judge Harlin Hale said in a written order that he was dismissing the case because he found the bankruptcy was not filed in good faith.

The NRA should have moved their incorporation from NY to TX, years ago.

LaPierre and his staff are crooks, frauds, liars, garbage, trash, sewage and scumbags, for using our donations to fund their lavish lifestyles.

I became a GOA Lifetime Member, years ago, when I found out what filth the NRA Mgmt was.

LaPierre was a “problem” from the get-go, much like those evangelical preachers and their ‘mega-churches’, with Rolls-Royces, hookers, drugs etc. He was mesmerized by so much money, he went rogue.

Incorporate a Second Amendment Association in Texas.

Have it buy a mailing list off the NRA.

Have the SAA collect dues and let the NRA run out of money.

The only worry I have is about the NRA gun collection near Fairfax, VA.

My understanding is that they’ve previously tried, and NY won’t let them go.

An ordinary, for-profit corporation can dissolve and re-incorporate only with a vote of the shareholders. The N.R.A. is a not-for-profit corporation, formed under New York law, and does not have any shareholders. Therefore, under New York law, it can dissolve and re-incorporate only with the approval of a New York court and after notice to the State Attorney General, who can oppose the application to the court. (I once handled a case involving a not-for-profit hospital that wanted to dissolve and sell its building to a real-estate developer; the AG opposed the plan and the court didn't approve it.)

Here, the New York AG has a pending case against the NRA; the NRA tried to get around that case by filing in Bankruptcy Court. The Bankruptcy Court turned them down.
