On Boards of Directors there will be Independent (or Outside) and non-Independent (or Inside - people who work for the company). The Independent Directors are supposed to be able to give unbiased advice to the Non-Independent Directors who run the company. The Outside Directors usually have expertise in one or more areas of the Companys business. Questions might be raised if it looks like someone is on a Board who has no expertise to offer.
