Israeli firm acquires US-based technology company

Israel’s Zoran Corporation, a provider of digital chip solutions, has agreed to purchase US-based Oak Technology. The transaction is expected to be completed in the third quarter of 2003 and is subject to approval by the stockholders of both companies as well as regulatory approval.

Under the terms of the contract, unanimously approved by the respective Boards of Directors, each outstanding share of Oak's common stock will be exchanged for 0.23 of a share of Zoran common stock and cash in an amount equal to $1.78.

Outstanding options to purchase Oak stock will be assumed by Zoran. Total cash and stock consideration represents $5.88 per share. The total merger consideration is valued at $358 million including $100 million in cash. Following the transaction, Zoran and Oak stockholders will own approximately 66.6 percent and 33.4 percent, respectively, of the combined company on a fully diluted basis.

Zoran expects the transaction to be accretive to the company's earnings before amortization and goodwill in the first half of 2004. The management teams of Zoran and Oak will be combined to address the expanded opportunities created by the merger. — (menareport.com)

Sadly I have to deal with such things regulary :) I am a Sun Solaris guy mainly but I deal with over 400 servers half of which are windows machines. Why they don't let me ghost with a bootable cd I will never know...

Back to the dot com world where I was prior to the server sales. Strategic partnerships, advertising, etc. I always called it "ancillary revenue." Goal is always to go from minor part of company's revenue to a significant, indispensible chunk of it. A challenge thing. Selling servers was a temporary experiment. Wanted to prove to myself that I could do hardware. I did well, but was made an offer that looked like a good challenge at another company. The next thing for me would be Enterprise Software sales, which I've never done.

Did I exchange messages with you when considering selling Linux servers?

i started unix but the instruction was horrible!

the first semester was "taught" by a guy who had once known it but retired mentally and was an alcoholic. tenured, he was constantly at war with his department. the school lawyers didn't want to get rid of him. 18 year old students would correct him, and employees of nearby corporations dropped it. unbelievable.. when i pointed out errors in the text, he said: "you actually read this stuff!" i got an "a". whatta joke.

the second semester was taught by another incompetent who had "taught" visual basic. when i complained, the department chair admitted that she didn't know the visual basic software. she couldn't do the homework that she'd assigned. once, i asked her how to solve a problem, and she gave up! then she gave me the answer book. i dropped the class.

when she saw me in her 2nd semester unix, she didn't want me in there because i had complained about basic. also, i had complained that she wrote sentences without verbs--a strange thing for a "college level" instructor. and, finally, she said that she knew that those of us who had taken the first semester of unix with the alcoholic were not prepared for her second semester class. she recommended that all of us re-take the first semester of unix with her the following semester.

i quit. the tenured faculty were disgustingly stupid.

actually, the computer repair classes were more competently instructed. they were free, and offered by the county of san diego. ironically, the faculty were paid hourly and did not have tenure.

Always possible, I worked previously at a telecom startup, ran the IT dept at their call center. Of course, I was the only one in the dept too, which means I did the server buys, software, wrote programs, manage and developed data bases, and so on. Quite a taxing job. I do recollect looking into getting some Linux servers, but I got quite busy on a huge sun/cti project and never had time (though I did build a few linux servers for print and file services).

That company has since went down the tubes (the telecom act of 96 really was not a great idea in some respects, it helped fuel the economy and the bubble, but it was only a matter of time before all those spawned companies met up with competition and they started going under - and when they did the dominos started falling).

Yes I remember those. I also remember the video cards they used to make for PCs back in the days when non-IBM machines were called clones and video was EGA or VGA.

I haven't seen their brandname for a while.

it works for lots of people. depends on your interests and your abilities. degrees are only entry tickets, as many have discovered; they don't actually predict outcomes.

no one does brain surgery without several degrees, however.

there are kids who pound away on a keyboard and learn a piece of software backwards and forwards and go to work.

I am, however, working on many certifications. Have a ccna, sun solaris, working on ccnp, oracle, java, mssql dba, and probably will add mcse 2003. Learning never seems to stop :)
