Musk wins again. Unfortunately for Delaware he's moved all his companies out of Delaware because of this. Biden/Democrats lose again.

The original judge(s?) who ruled against it were making up ****, like all Demagogic Party demagogues. They’re unfit for the bench, and belong in prison.

The original judge was a hard core Democrat activists, out to financially damage Musk because Musk was supporting Republicans.
You can't reverse a compensation package that had already been approved by Tesla shareholders TWICE with votes of over 75% approving of the package,
Musk was set very high targets which he achieved, only for some crazy Democrat judge to turn round and remove it.

You’d be amazed how many Casita’s you can buy for a couple billion dollars.

For those of us that don’t compulsively follow Elon Musk’s doings, a Casita is 375 square foot home manufactured by baxabl. He is reported to have a few scattered around his factories that he can use when needed.

Delaware’s behavior in this was straight out of Mao’s little book. Tesla’s owners voted twice to grant him the payout. Then, because of some slimy little commie trash with a dozen shares the court usurped private company control and imposed state distribution of private funds.

Commie seizure.

He is worth well over half a trillion. I don’t think losing this case would seriuly damage him.

The plaintiff’s lost on appeal and yet their attorneys are received a $345 million fee award.

6. Attorneys’ Fees.
After the court denied the Defendants’ Motion to Revise, it considered the Plaintiff’s counsel’s fee petition. Applying the factors from Sugarland Industries, Inc. v. Thomas, 53 and to avoid a windfall, the court adopted the grant-date-fair-value approach, which valued the benefit of the rescission at $2.3 billion. The court applied a 15% baseline percentage to the $2.3 billion litigation benefit, resulting in a $345 million fee award.

The Plaintiff’s attorneys are awarded fees and expenses based on quantum meruit and a four times multiplier and post-judgment interest on the revised fee award from December 2, 2024.

So there is no deterrent to frivolous lawsuits. You make big bucks even if you loose.

I wonder what a Texas court would do in this suit.

Would a local have allowed the rescission?
Would the Supreme Court have over turned it?
Would they have awarded this ridiculous attorneys fees.
