Twitter Inc (TWTR.N) is poised to agree a sale to Elon Musk for around $43 billion in cash, the price the chief executive of Tesla Inc (TSLA.O) has called his "best and final" offer for the social media company, people familiar with the matter said.
Twitter may announce the $54.20-per-share deal later on Monday once its board has met to recommend the transaction to Twitter shareholders, the sources said. It is always possible that the deal collapses at the last minute, the sources added.

Do you think they all began as just clever ideas? I do. And then we changed these platforms and over time other parties saw potential to mess around with our minds in new ways. Making us perceive reality .... differently.
Attention span is fundamental. Without it we cannot learn. We cannot think.
The purchase agreement would have a conditional agreement contingent on certain financial and managerial conditions of twitter as verified by independent accounting and other specialists that audit twitter. These would by furnished by Musk to go over everything.
Not only Musk but his financing providers would have a right of refusal if there is anything hidden from or misstated to Musk.
Due Diligence 101.
Don’t expect this will cchange anything.
Another poster mentioned that Twitter might be destroying records at the moment. But that would likely violate the Sarbanes–Oxley Act. It would be funny if Musk bought the company, looked and said, “Hey, your record-keeping is completely inadequate! I won’t be on the hook for a Sarbanes–Oxley violation! I want my money back — and do enjoy the government’s full audit. I imagine it will put you out of business.”
Why would he waste so much $$$$$ on shiTwitter? Doesn’t seem very smart at all.
Good points.

” Wonder if the planned tender offer was the straw that broke the back.”
i think the recent revelation of massive financial backing of Musk by multiple biggies + a plethora of threatened lawsuits by shareholders did it ... some think a dismal upcoming quarterly financial report might contribute ...
“Now if only he could do something about the failed CNN”
CNN is basically a minuscule propaganda organ that almost no one pays attention to anymore, so is fundamentally irreverent compared to what twitter could quickly become as an international free speech town hall ...
The boards of Blackrock, Vanguard and State Street would have been in trouble if Musk shifted to the Tender option.
“Will they just start a new company? Bet that’s the plan”
hardly ... several have tried, none have succeeded ... pretty much like trying to start a new amazon ... that’s exactly why musk wanted to buy twitter ...
“Does he also get everything Twitter Inc owns ?”
yes ...
“I’m more thinking he’ll get sabotaged from within like Trump did.”
unlike the constraints of the FedGov civil service, Musk will have zero constraints on firing whomever he wants, whenever he wants ... plus he could sue individual employees for active acts of sabotage ...
“I’m sure the libs working there will not even see the double-standard in their reviewing skills.”
musk can simply fire everyone involved with censorship, and probably halve the number of employees right off the bat ...
“They [the board} are far more worried about getting entangled in litigation than they are about TWTR.”
totally ...
He's not stupid, he saw a huge opportunity and went for it. Meaning Tesla, not Twitter, though that may pay off also. Musk is pretty conservative, other than on social issues. Libertarian-leaning, in other words.
Don't pick your technology based on politics, it's bad since you'll miss out on good things. Musk has built awesome cars, which happen to be electric. The Model S will out-accelerate almost all sports cars, and most motorcycles. Electric motors are ultra-reliable. They are cheap to run (if not buy).
There's nothing wrong with not burning coal (in particular) for power.
What the world needs is a whole lot of safe, modular nuclear reactors.
