California Companies Are Rushing to Find Female Board Members

In September 2018, California became the first state to legally compel corporate board diversity with a law mandating that every public company in the state have at least one female director by the end of 2019. The law set off a scramble to find hundreds of female directors, many of whom don’t fit the traditional mold.

If companies fail to comply with that mandate, they face a one-time fine of $100,000.

By the end of 2021, the law’s requirements ramp up, compelling companies with five board members to have at least two female directors and at least three on six-person boards. If companies continue to break the law, they face a steeper penalty of $300,000 for every seat that should be filled by a woman.

The text of the law, signed by former Gov. Jerry Brown, cites several studies that found an association between diverse boards and enhanced company performance, though researchers also emphasized that the link wasn’t evidence of cause and effect.

For years, governments across Europe have been pushing similar efforts, with Norway becoming the world’s first country to put in place a gender quota in 2008, and France, Germany, Spain and Italy following suit.

But the California mandate isn’t without controversy.

Two lawsuits filed this year argue that the law is unconstitutional because it “seeks to force shareholders to perpetuate sex-based discrimination,” according to one of the plaintiffs, Creighton Meland Jr., a shareholder in OSI Securities.

In the U.S., women hold about 20 percent of board seats at companies listed in the Russell 3000 stock index, up from 17 percent in 2018, according to the nonprofit 2020 Women on Boards. Of the more than 600 companies based in California that are listed on a major stock exchange, almost one-third had no women on the board

The law is unconstitutional. Unfortunately, that won’t stop the fascist state of CA from fining you.

This law is unconstitutional - it forces people into associating with someone with whom they may not wish to associate.

It is also idiotic. Business people are generally interested in one thing: increasing the bottom line. If adding women did that, there would already be women on every board. It evidently doesn’t, so the idiotic CA government (but I repeat myself) has to FORCE companies to do this. If it is so great, why do they have to compel this kind of activity?

The great philosopher Ringo Starr once observed, “Everything the government touches turns to $hit.” He was right, and the government should stay the F out of business and other things that it clearly does not understand.

How about identifying as a woman between 10:00 and 2:00, Tuesdays and Thursdays, and going without a tie, during those hours?

Someone on the current board needs to identify as a woman, problem solved. They can even take turns every day, week, month, quarter or years. being gender fluid means they can change gender quicker than changing shoes. Like a sharia divorce all you need do is say it out loud.

Good question. If CA does move in that direction, I hope they exempt women's beach volleyball. I like women’s beach volleyball just the way it is.

So, one of the male board members should simply declare themselves to be female.

Actually, a male should apply for the female board position, and if they don’t get it, should sue the state for discrimination.

I wonder if the law disallows wives of board members, or requires them to be paid, or actually show up.

Because otherwise, I don’t know why a board wouldn’t just find one member, assign their wife as a board member, and be done with it.

How long before they mandate that every company have gay people running the business? or pedos running the business? or satanists running the company? or drug addicts? or rapist?

The state is now mandating who businesses can and can’t hire?
