Lots of private organizations have officers and charters. Organizations can reasonably be expected to act in their own interest. Rather than prohibiting people from associating with one another when those folks react to government imposed disincentives, it would make far more sense to remove the disincentives.

Just because organizations have officers and charters, that by itself DOES NOT make it a corporation.

It must be INCORPORATED according to the laws of the state it exists in.

The document showing it was incorporated is a legal document that shows the corporation exists.
