Getting a 79.9% stake in AIG for an $85B preferred convertible at 12% is a probably the best deal the government got in all this. If the government rescues the SIVs and redeems the CDSs then we really get screwed and the share holders make out like a bandit. The government should seize this assets and sell them profits to the Treasury if they bail out the likes of WaMU and the scurvy MER, MSH and GS, etc. They should definitely block the merger of MER and BAC. If that goes through it will result sloppy seconds for tax payers.

The problem with the BDs and Banks merging is that the banks are FDIC insured. If the banks go the way of LEH then the depositors will run the bank and FDIC kicks in. The amount at risk does not go up but the risk does so FDIC insurance would be deemed to low. I think this is a huge bail out of the NYC tri-state Dem Senators in an NYC jobs protection scheme. The government should seize assets of the BDs if they back the debts. The deal with AIG is actually a pretty good model. The price needs to be set at what the actual assets of the BDs are. All the bulge bracket BDs are buggy whip companies. They serve very little useful purpose. All the services they provide can be gotten for less cost elsewhere. Keeping them alive is stupid unless you are a NYC region politician.
