PHILADELPHIA (Reuters) - AT&T Inc. (NYSE:T - news) on Sunday agreed to acquire BellSouth Corp. (NYSE:BLS - news) for about $67 billion, to expand its reach into the southeastern United States and acquire the rest of Cingular Wireless it does not already own.

BellSouth shareholders will receive 1.325 shares of AT&T common stock for each common share of BellSouth. Based on AT&T's closing stock price on March 3, that equals $37.09 per BellSouth common share, a 17.9-percent premium.

The long-awaited deal would give the combined company a national long-distance telephone and data network, residential customers stretching from Florida to California and business customers comprising more than half of the Fortune 1000.

Earlier speculation is confirmed. It is estimated that the deal will close in a year, after regulatory filings and hearings. I do not know if this is such a bad thing. Unless one is a Verizon shareholder.

So, through ordinary market operations, the 'monopoly' AT&T had back in the '60's is being stitched back together.

Gosh, I bet Judge Sirica is tossing in his grave.

Yep. This will be the original Ma Bell minus Verizon territory, Bell Labs (Telcordia) and Western Electric (Lucent).

Wierd. First they split up the phone companies, and now AT&T is stiching them back together. Bizarre.

Yep, that already have Southwestern Bell (SBC).

I HATE AT&T. I used to work in one of their call centers. A bigger buch of liars I have never met.

For me it was: Pacific Telephone & Telegraph then AT&T then Pacific Bell then SBC now the "new" AT&T. I retired with SBC in 2002. I'm looking for a Wally World merger. ; )

It was not Sirica but Judge Harold Greene who ordered the breakup of AT&T. So now we're getting the old AT&T reassembled, but with Bell Labs turned into Lucent and trashed in the process. One of the major research labs on the planet, with more Nobel prizes than a lot of nations, wrecked. Greene couldn't have done more harm to the US if he had been a paid agent of the KGB.

The same is true in the gas industry.

Standard Oil was split into five companies: Standard of Ohio (SOHIO - Rockefeller's original Company), Standard of New Jersey (Exxon), Standard of Indiana (Amoco), Standard of New York (Mobil) and Standard of California (Chevron).

Now Exxon and Mobil have merged as have BP, which acquired SOHIO, and AMOCO.
