SAN ANTONIO--(BUSINESS WIRE)--Nov. 18, 2005--Today marks the birth of AT&T Inc. and of a new standard-bearer in communications, entertainment and service for the 21st century. SBC Communications Inc. (NYSE:SBC - News) closed its acquisition of AT&T Corp. today as California regulators approved the transaction -- the final approval needed for the merger of the companies' highly complementary networks, product portfolios, capabilities and shared heritage. The combined enterprise will immediately begin a well-planned integration process, allowing the new AT&T family of companies to quickly deliver benefits for both customers and stockholders.

Through its subsidiaries and affiliates, AT&T Inc. is the largest telecommunications company in the United States and one of the largest in the world. The combined company is the largest U.S. provider of high-speed DSL Internet services and local and long-distance voice services and the No. 1 provider of data services to the Fortune 1000. The new AT&T owns 60 percent of Cingular Wireless, which is the No. 1 U.S. wireless services provider.

The combined company is now poised to lead the industry in one of the most significant shifts in communications technology since the invention of the telephone more than 120 years earlier -- the deployment of integrated services based on Internet Protocol, giving customers access to virtually any services, anytime, anywhere.

Ticker Symbol Announced, New Mark to be Unveiled Nov. 21

On Oct. 27, SBC announced that it would adopt the AT&T Inc. name following merger close. Today, the company announced that it will begin trading under the "T" symbol on the New York Stock Exchange on Dec. 1. In the interim, it will trade under the existing "SBC" symbol.

A revitalized corporate logo will be unveiled on Monday, Nov. 21, the company's first full day of operation as the new AT&T.

Immediate Benefits for Businesses, Consumers

Global, national and regional businesses, as well as federal government agencies, now will be able to make a single call for local network access and global backbone connectivity, as well as wireless services, backed by industry-leading customer care and security features. The AT&T IP backbone network, with its industry-leading software infrastructure, gives these customers the control and flexibility to manage their own networks and deliver a wide range of applications in a secure, reliable way.

Residential and small-business customers will realize the benefits of new IP communications innovations more quickly and effectively as well, because the new AT&T companies will take solutions created for large businesses and adapt them for smaller businesses and consumers. The new AT&T companies will deliver fiber-powered broadband connections to millions of homes and small businesses, enabling customers to take advantage of IP video and other emerging applications with content delivered over the new AT&T IP backbone network. Additionally, the new AT&T companies will make cost-competitive, convenient communications service bundles available to millions of new U.S. customers; details about those bundles will be available in the coming weeks.

The New AT&T Focused on Seamless Integration

The new AT&T management team will immediately launch a thoroughly planned integration of the two companies' networks, product portfolios, customer care teams and overall operations to ensure a smooth, efficient transition. Through legally permissible ways, a team of managers began integration planning soon after the original announcement to help jump-start the transition after merger close. The team's top priority is to ensure the highest levels of reliability and service for customers during the transition.

The New AT&T Focused on Achieving Value for Owners

The former SBC has a strong, well-established track record of delivering solid value from merger integration efforts. The creation of the new AT&T will be no exception. The transaction is expected to yield a net present value of more than $15 billion in synergies, net of the cost to achieve them. The new AT&T will provide details on operational plans along with an updated financial outlook for the combined company, including expected synergies, at an investor conference in New York City on Jan. 31, 2006.

Stockholders of the former AT&T received 0.77942 shares of SBC common stock for each common share of AT&T. As part of the merger closing, the former AT&T paid its stockholders a special dividend of $1.30 per share.

As part of the merger close, three new members from the former AT&T board of directors were added to the new AT&T board, bringing the total to 18. New members are: David W. Dorman, William F. Aldinger, and Jon C. Madonna; they will be appointed to existing committees.

The completion of the merger is the culmination of an extensive 10-month review process, which included review by or filings with 36 U.S. states and the District of Columbia, the U.S. Department of Justice and Federal Communications Commission, as well as 14 countries.

Here's the real skinny on why this happened. I've been a ATT Worldnet dialup customer for about 7-8 years. Just yesterday, I signed up for SBC DSL. Evidently, ATT found about it, and said, "If FNU LNU is finally changing over, we'd better do something," so they bought SBC.

It's nice to be appreciated...

At least Robert Allen (piss be upon him) is not on the board. Allen ruined the old AT&T. Can't say I have had too many complaints about SBC. Lost my land line connection a few times, but that was due to a construction outfit in Houston digging where they shouldn't (yes, the SBC crew clearly marked the cable routing). The old AT&T was another matter. AT&T had a lot of internal problems. Some of it was rooted in Robert Allen's lack of a spine.

It's nice to be appreciated...

On the other hand, as an ex-Cingular cell phone customer, I've got horror stories to tell about SBC customer service.

It got so bad that we cancelled...and moved to AT&T.

Whereupon, SBC acquired AT&T, began taking over the cell phone service...and screwed up yet another customer service department.

Sprint now has a new customer. And if SBC acquires them, I'll slash my wrists...

New AT&T unveils new logo

NEW YORK - The new AT&T Corp., freshly formed by SBC Communications Inc.'s purchase of its former parent company, on Monday unveiled its new corporate logo: a variation on the familiar blue AT&T globe with the company's name spelled in lowercase letters just below.

Customers will see the new logo design with their monthly bills starting in December, but only on the envelopes. It will start appearing on the actual invoice in February.

The re-branding of SBC's services under the AT&T name may take longer. The switch won't be made until all legal and regulatory name-change filings are complete, the company said.

The changeover also entails replacing both the SBC logo and the old AT&T logo on 50,000 vehicles, 6,000 buildings and 40,000 uniforms and hardhats worn be employees, a process expected to take several months.

Ceremonies to unveil the new logo on SBC's corporate headquarters in San Antonio and the old AT&T's base in Bedminster, N.J. were planned for Monday.

The company said the new logo was designed to look three-dimensional, "representing the expanding breadth and depth of services that the new AT&T family of companies provides to customers."

Lowercase type was chosen for "at&t" in the logo "because it projects a more welcoming and accessible image," the company said.

AT&T Chief Executive Edward Whitacre acknowledged that it was an emotional decision to replace the SBC brand and logo, which he worked long and hard to build as he transformed SBC from a regional phone company into one of the nation's two dominant telecommunications players.

"It's sad for me, but I think we're doing the right thing for the company," he said in an interview.

SBC, originally named Southwestern Bell Corp., was one of the regional "Baby Bells" created by the 1984 breakup of AT&T's national monopoly on local and long-distance phone service.

The former subsidiary completed its purchase of AT&T on Friday after California officials removed the final regulatory hurdle for the $16 billion deal.

The California Public Utility Commission also gave their consent to Verizon Communications Inc.'s planned purchase of MCI Inc. for about $7.5 billion, though that deal is still awaiting approval in other states.

The two deals highlight the fading distinction between local and long-distance calling as separate services, while ushering in a new era dominated by direct competition with cable TV and wireless providers rather than among individual phone companies.

SBC also announced Friday it will assume AT&T's longtime stock trading symbol, "T," starting Dec. 1.

AT&T brings a national fiber-optic network and a valuable base of corporate accounts to SBC's largely regional, consumer-oriented business. AT&T also gives SBC the international capabilities needed to serve companies with far-flung operations.
