REPORT: Twitter Board Eyes Poison Pill To Stop Elon Musk’s From Buying Company
The poison pill would allow Twitter’s board to either flood the market with shares or allow current shareholders to buy more shares at a discount, reported The New York Times. Musk can counter using a tender offer to put his offer to the shareholders instead of Twitter’s board.
“If the current Twitter board takes actions contrary to shareholder interests, they would be breaching their fiduciary duty,” Musk tweeted Thursday. “The liability they would thereby assume would be titanic in scale.”

Twitter Suspends LibsofTikTok For Featuring Liberals Talking About Themselves?
So Twitter suspended a site that entirely features liberals talking about themselves.
However, the site highlights liberals speaking about themselves and their values in their own voices. There is no explanation, which is common for the company. It simply suspended the site and told it to reform itself.
Formed in November 2020, the “Libs of Tik Tok” account has more than 613,000 followers on Twitter and has become a major feeder for conservative new sites.
The success of the site drew the familiar crowd demanding the silencing of opposing voices or groups.
Notably, the liberal Media Matters stressed that the site had simply become too successful. Sophie Lawton described the replaying of postings liberal voices as “targeting teachers and schools with anti-LGBTQ smears.” She described that the site was going in influence as the basis for stories by Fox, Joe Rogan, Meghan McCain and others. However, all she describes is the use of tapes of liberal subjects talking about themselves and objects that “the Libs of TikTok content has become ammunition for their arguments.”
That was apparently enough for Twitter, which defined reposting liberals to be a form of hateful conduct.
The action seems consistent with the chillingly anti-free speech agenda of Twitter CEO Parag Agrawal. In an interview with Technology Review editor-in-chief Gideon Lichfield, he was asked how Twitter would balance its efforts to combat misinformation with wanting to “protect free speech as a core value” and to respect the First Amendment. Agrawal responded:
“Our role is not to be bound by the First Amendment, but our role is to serve a healthy public conversation and our moves are reflective of things that we believe lead to a healthier public conversation. The kinds of things that we do about this is, focus less on thinking about free speech, but thinking about how the times have changed.
One of the changes today that we see is speech is easy on the internet. Most people can speak. Where our role is particularly emphasized is who can be heard. The scarce commodity today is attention. There’s a lot of content out there. A lot of tweets out there, not all of it gets attention, some subset of it gets attention.”
Twitter seems to have followed Agrawal’s lead. It not is just thinking less about free speech. It is not thinking of it at all. Libs of TikTok was getting too much attention so it suspended it without further explanation.
Like I said, the EU and US are pushing for war, they need it.
Legendary financial and geopolitical cycle analyst Martin Armstrong thinks the New World Order’s so-called “Great Reset” plan for humanity now needs war to try and make it work.

“This is all deliberate. There is no return to normal here. Unfortunately, this is where we are headed.”
Armstrong contends, war in Europe could break out in a couple of weeks, and the EU and NATO are pushing this. Armstrong says,
“They want Russia to do something. . . . This thing with Russia is the same thing all over again. Unfortunately, we are headed for war.”
In closing, Armstrong says,
“We are not getting back to normal. The system is crumbling from within, and it’s just like the fall of Rome, basically.”

Twitter is hoping to frustrate Elon out of his offer by imposing roadblocks like a post-offer poison pill. This is a defense tactic.
3 likely outcomes:
1. Twitter ends up in a shareholder derivative suit for breach of fiduciary duty for not properly evaluating the entire fairness of Elon’s offer.
2. Twitter is “in play” meaning the board has to execute a sales process to find the highest bidder.
3. Elon launches a proxy battle & teams up with other major shareholders to takeover Twitter (more traditional hostile takeover approach).
If you’re a Twitter board member, you’re going to have a lot of sleepless nights coming up.

Since shareholders—who are the actual owners of a company—can vote by majority to favor the acquisition, the target company management deploys a poison pill, which is usually a specially designed shareholder rights plan with certain conditions drafted specifically to thwart attempted takeovers.

He was not the mayor he was advisor to the mayor. Handled the transference of state (meaning for Communist government owned!) property to private hands.
