I think I've figured it out...
Henderson is actually a secret DoD cyborg and is programmed to follow four prime directives:
1. Serve the President
2. Kill all witnesses
3. Do not yield to law enforcement
4. Classified
The fourth directive, which he is programmed to be unaware of unless it becomes relevant, renders him physically incapable of killing the President ('Any attempt to kill the President results in shutdown').
In remorse for sucker punching him, SecDef Heller reveals that Henderson is a cyborg and sends technical data about Henderson to Bauer's screen.
Bauer lures Henderson onto the Presidential compound. Bauer takes the President hostage and tries to get Henderson to shoot him. The President, not knowing about Directive 4, orders Henderson to kill Bauer.
Henderson aims at Bauer, but Directive 4 kicks in because the President is in sight. Henderson falls to ground limp and his batteries explode.
Bauer then proceeds to beat President Logan to within an inch of his life. Martha, fresh off her rendezvous in the stables with Aaron, removes Logan's ##&*#& and feeds it to their cat.
Bauer reunites with Chloe and they profess their undying love for each other. They marry and rebuild CTU with Jack Bauer clones.
