Exactly. There are many unanswered questions about this. How many board members are there? Do the six constitute a quorum? Do they need 100% agreement to hold an unscheduled meeting and lastly, did Ted Cruz tell them to do this?
Most By-Laws have a “Notice” rule for Board meetings to prevent exactly this king of stunt. Often the Board Members do not know the rules, or think they cannot be enforced. I hope Phyllis gets a really good law firm and tears these people a new one.
