MINUTEMAN PROJECT, Inc., CHANGES LEADERSHIP

FEBRUARY 24, 2007

"The MINUTEMAN PROJECT, Inc.," (MMP) was a concept created to defend the sovereignty of the United States of America. The organization created sought to empower American citizens in the exercise of their constitutional rights to demand redress of grievances from the government's failure to enforce United States Immigration law.

While "The MINUTEMAN PROJECT, Inc.," recognizes the efforts and contributions made by Mr. Jim Gilchrist at the inception of the organization, the MMP Board of Directors has determined that a change of leadership based on internal issues was necessary.

MMP has led the fight in this culture war being waged on the American middle-class, and in order to continue its commitment to every American citizen, today announced it will immediately implement a reorganization of internal administrative, operational, membership, and accounting policies.

MMP today asks its membership for their continued support throughout this reorganization and pledges to make the MMP a stronger, more viable, efficient and politically effective mechanism as we move forward to press for the United States Government to enforce immigration law, secure America's borders, and safe-guard American citizens from illegal aliens criminal, health, gang-related and economic threats.

Vibrant, ethical and responsive leadership is pledged to our members by current MMP President Mr. Marvin Stewart, and MMP Treasurer Ms. Deborah Courtney. "I stand committed to re-focusing the direction of the MINUTEMAN PROJECT to the goals established when this great movement first came on the scene" Mr. Stewart stated. "While others may seek to profit from an effort to secure America's borders, true patriots will draw a line in the sand whether it is against the proponents of illegal aliens, or internal foes bent on avarice and greed" Mr. Stewart concluded.

"I have pledged my time, my effort and my personal resources, to maintain what I truly believe is the only organization that can swing the ship of state back on course" Ms Courtney said. "Although we face a difficult process in the reorganization of the MMP, it is based on external forces that cannot go unchallenged" Ms Courtney stated.

FACTS: 3 members out of 7 (or 8) is not a quorum. This is not the first time D Courtney called the IRS on someone as an act of revenge. Without legal right, seizing MMP bank accounts is grand theft. Deborah's old friends are ready to testify against her and are in contact with Mr. Gilchrist. Marvin won't last in prison. Deborah won't last a day in the custody of the OC sheriff's department (that whole Bill Hunt thing).

Or not.
While the COMMON definition of a quorum is a majority, this is not always the LEGAL definition.
See, for instance, from www.SECinfo.com:
QUORUM FOR STOCKHOLDER MEETINGS

Delaware law allows a corporation's certificate of incorporation or by-laws to specify the number of shares whose holders shall be present or represented by proxy at any meeting in order to constitute a quorum, but requires the quorum to consist of at least one-third of the shares entitled to a vote at the meeting...

There were apparently two OTHERS involved, including Barbara Coe -- in this SHORT EXCERPT from www.ocregister.com:
"...Jim Gilchrist, an accountant from Aliso Viejo, appeared in court Monday to convince a judge to issue a restraining order against four former staffers, including church minister Marvin Stewart and California Coalition for Immigration Reform activist Barbara Coe.

The judge needed more time to review the case before making a ruling.

Gilchrist said Coe and others wrongly removed him from the group late last month after accusing him of criminal activity..."

Very perceptive of you, RonDog. There is a secret board member, bringing the total number of Directors to 8. However, this secret member is not on any paperwork, therefore, he does not exist in the eyes of the law. Also the MMP bi-laws call for a majority for a quarom. If I'm wrong, the rebels might have a legal leg to stand on.

Correction, the secret member is Deborah's dad (according to my source). I just had a mutually enlightening conversation with an MMP staffer. I need to confirm a few things before I post them, but the story just got juicy.

An Orange County Superior Court Judge today decided to not rule on Jim Gilchrist's request for an ex parte emergency order to take back control of the Minuteman Project, Inc. website, bank account, and other assets. Instead, the Judge scheduled a new hearing on March 21.

The scheduling of the new hearing gives dissident Minuteman Project, Inc. Directors Barbara Coe, Marvin L. Stewart, and Deborah Peterson, the opporunity to prepare more extensive responsive papers and potentially some time to schedule a deposition of Gilchrist. Gilchrist claims that Coe, Stewart and Peterson are not directors of Minuteman Project, Inc., and that he is the sole director. But Coe, Stewart and Peterson claim they are the directors of Minuteman Project, Inc., and that Gilchrist has poorly managed the organization by bouncing checks, signing checks without authority, failing to obtain IRS tax-exempt status, abusing postal rate regulations, and using the nonprofit organization to receive personal royality payments from a private book deal.

Gilchrist is represented by Irvine attorney and former Congressional candidate Guy Maille. I am representing Coe, Stewart and Peterson.
