Kimberly-Clark (KMB) shares plunged over 15% premarket on Monday after the consumer goods firm entered a deal to acquire all outstanding shares of Tylenol-maker Kenvue (KVUE) in a cash and stock transaction.
The transaction is expected to close in the second half of 2026, subject to the receipt of shareholder approvals and regulatory approvals. The deal values Kenvue (KVUE) at an enterprise value of around $48.7 billion, based on the closing price of Kimberly-Clark common stock on October 31, 2025.
Under the agreement, unanimously approved by both boards, Kenvue shareholders will receive $3.50 in cash and 0.14625 shares of Kimberly-Clark for each Kenvue share, valuing the deal at $21.01 per share.
The transaction is expected to deliver immediate value creation to Kenvue shareholders from $6.8 billion in upfront cash consideration. Kenvue's (KVUE) shares rose over 22% in premarket trading on Monday and closed at $14.37 on Friday.

There will always be that centile of doubt and caution about Tylenol which was not there before his statements.
Tylenol is not safe for many people to take. If you drink and take it, you could destroy your liver. Take too much and you destroy your liver.
All drugs have side effects...take them if you need them, don’t pop them like tic tacs
Yes. Moderation is key. Besides, taking too much of most pain relievers will only raise the pain threshold higher, meaning you will require greater amounts or stronger dosages to achieve the same effect. Meanwhile, your organs are being worn down.
