Years ago, I learned that most every major bank is based in Delaware because they let the banks screw you the most.
I have a Delaware S-Corp and I live in Wash State. The reasons to incorporate in Delaware are many, in fact books have been written about that subject. Mostly, it is to protect your assets in case your company is sued. Some of it is taxes. Delaware has more Corporations than they do citizens.
