I’m not really sure stating a desire to go private after taking to potential financiers should be considered criminal.

If the stock price he mentioned was close to the last quote he saw or discussed with financiers, then mentioning it shouldn’t be considered wrongdoing.

Companies should always be valued on their fundamentals.

it’s criminal if that didn’t happen and he said it happened, AND it’s criminal if it DID happen, but the company didn’t submit the information to the SEC as materially relevant ...
