The Walt Disney Company announced Tuesday it has agreed to buy Lucasfilm . . . for $4.05 billion in cash and stock from George Lucas.

If Disney is the buyer, why is Lucas paying them $4 billion?

Lucas isn’t paying them. They are paying Lucas to obtain Lucasfilm from him.
