"Transformers" director Michael Bay has been sued by two men who claim they were pistol-whipped by his security guard outside a trendy nightclub.
The complaint, for battery and negligence, was filed Tuesday in Los Angeles Superior Court by Joshua Stewart and Paul Klimczak. The men say that exactly two years ago they were struck in their heads with a handgun by Bay's unidentified security guard after being booted from Kiss nightclub adjacent to Beso restaurant in Hollywood.
They were treated at a hospital for broken teeth and bones, according to the lawsuit. Bay is not claimed to have participated in the attack but he's been sued for negligence along with the club's owners because the security guard was allegedly under his control at the time of the incident.

About five years ago I had one threten me for taking pictures on the sidewalk in front of his club. I sent a letter to the club owner explaining that his property rights did not extend to the sidewalk, informing him that he had a big problem with an over aggressive bouncer, that should this bouncer (picture enclosed) ever harm anyone he would be liable for it, as he had now been warned in writing. I cc'd the city attorney's office and the liquor control board.
I've never seen ANY bouncer outside that club since then. I'm pretty sure "Sluggo" got fired.
However the law should work is immaterial. The way the law does work is fairly straightforward with respect to these circumstances - when you employ someone who almost beats someone else to death (allegedly), you may have some liability exposure. I smell a settlement.

Until I know otherwise, I’m giving Michael Bay the benefit of the doubt. So far we know of no details of what actually happened, who these guys really are, and why they waited two years to file.
If they were paparazzi, I’d say the guard should have shot them with that gun.
Call me jaded and cynical but I see a hungry lawyer trolling for red meat and anxious to break into the big time.

Yes, I am too. I should have added that the thing that's most peculiar is this happened two years ago. The story makes no reference to any criminal investigation at the time, which would be unusual if their injuries were as bad as they claim.
It seems they filed this on the very last day they could due to statutory limitation - which isn't unheard of, but not necessarily common.

What took so long?
That seems to be the key here. It's possible that the bodyguards were not under his control. If Mr. Bay for a specific occasion hired protection from an agency, then the bodyguards would not be under his control; they would be under their agency's control, and they would be acting according to their agency's rules. They wouldn't even listen to the client, since all the client paid for is to keep him safe; the client hasn't employed them or bought them as slaves.
The lawsuit is probably using a shotgun approach - accuse everyone and their dog, and let the judge to sort them out. It's easier to drop someone from a lawsuit than to add someone.
