Kerry's got about 20% (~520) or so of the delegates required for nomination. The question is: what happens to those delegates if he drops out?
My guess is that they're cast free -- and thus are free agents at the Democrat convention. And we've all been saying that a brokered convention is pretty much Hillary's only chance....
