Why? That’s not needed and could well be detrimental long term.
A more interesting question is why?
It easier than doing an IPO.

Yes, exactly. The entire edifice would be traded as Tesla until such time as the corporate name is changed.
Meanwhile, having been chastised in the past by the SEC or FTC or something, Elon Musk is clearly not going to respond to questions about this from media.
In the future, after such a merger, the various divisions could be spun out to "unlock value" as the term goes.
Currently, the only way I know to get a piece of the SpaceX action is to have a cool million to invest in BFGIX.
Tesla would be the “surviving” company. They would do an “all stock deal” and issue shares to cover the cost.
In the end, Tesla goes up; Space Ex is Public, and Elon is a Trillionaire.

I would understand Tesla and Xai, but SpaceX joining them is less obvious to me. Maybe there’s a synergy with the robots and Ai in space, and on Mars, that’s more easily served within one company, instead of cross company contracts?
Tesla isn’t private.
The most probable reason is to retain complete control in Musk’s hands. Next is that boosting Tesla earnings makes his $1 trillion pay package more likely. Also, if the companies are related, pricing on intercompany sales is more flexible.

If I remember correctly Musk did somthing similar when his solar panel business model was about to crash and burn. He saved it by merging with Tesla. Musk’s overall business model seems to rely mostly on ideas that sound great, but don’t make much in the way of profits without government subsidies. Eventually, a business endeavor needs to be self-sustaining, and his generally don’t appear to be. Maybe he’s just too far ahead of his time.
I think the story is partly bogus, based on leaked private scuttlebutt, but it’s still an interesting idea. A SpaceX IPO was a non-starter for a long time because of Elon’s having to contend with a public board.
That overreach by that jackass court in Delaware, denying Elon’s 2018 pay package for Tesla soured him some more. That’s in the past now, but the current underwriters (such as Ron Baron) will have a good deal to say about any merger, as well as the rumored IPO.
Folding all the companies together isn’t farfetched. The solar power company SolarCity got folded into Tesla circa 2016, despite some opposition.
All the businesses have a Mars settlement angle. The Boring Company will use autonomous systems to drill the underground habitats to be used by arriving colonists, who will find the photovoltaic arrays up and at ‘em, paved roadways leading to the entrances and connecting to possible greenhouses filled with crops tended by robots, and FSD vehicles to get around.
Whoops. [blush] And SpaceX has reduced the cost of getting to orbit by 90%, and each reuse of a Falcon 9 cuts it a little more. The company makes money, as does Tesla.
The proverbial diminishing returns thing is the immediate reason Starship development is being driven so hard. Next projected test is March, and Falcon 9 launches are going to move to the Cape. The Texas site has two launchpads now, and a Starship pad is being constructed at the Cape. Looks like goodbye to California within a couple of years.
Of course, that assumes California will still be around in a couple of years. Anyone wanted to flee the racist leftwing violence that is coming should be vetted. Hollywood lefties should be sent back to face the music they helped score, everyone else carefully relocated to some other lost cause, like NY state.
