The difference is it is intended to memorialize the Fallen, those who made the ultimate sacrifice for the nation, not about all dead people including other veterans who died outside their time of service, that’s what Veterans Day is about.

Memorial Day used to be called Decoration Day—a day to decorate graves of the dead from the Civil War. Memorial Day broadened the idea to honor the dead of all wars.
