Alaska Airlines has entered an agreement to acquire Hawaiian Airlines for $1.9 billion, including $900 million of the carrier's net debt.
According to Sunday's announcement, Alaska Airlines will acquire Hawaiian Airlines for $18 per share in cash.
The airlines say the deal will unlock more destinations throughout the Pacific region, continental United States and globally.
The deal is expected to generate high single-digit earnings accretion for Alaska Airlines within the first two years with no anticipated material impact on long-term balance sheet metrics.
'This combination is an exciting next step in our collective journey to provide a better travel experience for our guests and expand options for West Coast and Hawai'i travelers,' said Ben Minicucci, Alaska Airlines CEO.
He added: 'We have a longstanding and deep respect for Hawaiian Airlines, for their role as a top employer in Hawai‘i, and for how their brand and people carry the warm culture of aloha around the globe.'
The combined organization will be based in Seattle under Minicucci's leadership, and Honolulu will become a key Alaska Airlines hub.
A press release announcing the deal touts a 'stronger platform for growth and competition in the U.S.' as well as 'long-term job opportunities for employees, continued investment in local communities and environmental stewardship.'
The combination of domestic, international and cargo networks is poised to expand choice for the carriers' combined 54.7 million annual passengers.

Hmmmm..... possibly how Hawaiian Airlines got into such debt in the first place? It's a gamble going into business operating out of a foreign country like that..... :0)
I went to Australia a long time ago, and on the way I had a layover in Hawaii. It was dark when I arrived, and it was dark when I left. But I’ve been to Hawaii.
Bad timing.
Biden is going to declare another pandemic and restrict travel and part of his plan to steal another election.
Even if Biden is not the Democrat’s candidate they will follow that plan.
There will be a number of very lean months for airlines, maybe a lot of lean months.
The airlines, all of them will be piling up debt in the coming year.
Just my forecast for what it’s worth.
That is one hell of a premium. $18/share vs last closing price of $4.86.

I can see the logic of this move. Maps of the US show Alaska and Hawaii are very close together. Just southwest of California if I recall correctly.
Are planes bound by the little square?
Do the get any of the oil money disbursements from Alaska that gets thrown about annually?
This merger could be good news for Boeing. Alaska recently phased out the last of the Airbus A321’s they acquired when they took over Virgin America and Hawaiian is already buying new 787 Dreamliners to replace its A330’s. With Alaska’s stated preference to be an all-Boeing company, I could see them replacing Hawaiian’s A321’s with new 737 MAX’s and even acquiring the 787 for their own fleet to expand the combined company’s service to Asia.
Alaska Airlines is going to feel pretty foolish buying Hawaiian Airlines once Joe Biden finishes building that railroad from North America to Hawaii.

IMHO, as a lifelong Hawaii state resident, I believe that Hawaiian decided to sell now because they have not really recovered from the COVID Scamdemic and their mounting debt, under Bidenenomics, appears to be unrecoverable, and union contracts are unsustainable. Tourism from Japan has drastically declined. Additionally, the potted plants in the state legislature believe that passing on their ever increasing taxes to tourists would be acceptable and have no economic effect. Hawaiian has been going downhill since COVID. There’s very little Aloha in their customer relations anymore, computer “glitches” are a regular excuse, flight delays and / or cancelations are numerous.
There’s a hundred other reason’s I can think about but it basically falls in the same category - too much government.
So why would alaska airlines buy hawaiian airlines. Alaska will just run into the same problems as hawaiian airlines ran into.
Do you still live in Hawaii? I do and I completely agree with you.
Most of it is for airplane leases (maybe purchases, not sure their business model on that.) Airlines tend to have very high equipment debt loads.
I dunno. I'm kinda hot-and-cold about this. . .
